Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you and HumanlyHR Inc. d/b/a Humanly ("Humanly," "we," "us," or "our") governing your access to and use of the Humanly JobSeeker website at https://jobseeker.humanly.io and any related products, features, and services that link to these Terms (collectively, the "Services").
Humanly also offers a separate business-to-business recruiting platform under different agreements; those agreements (including Humanly's master subscription terms at humanly.io) do not apply to your individual use of the JobSeeker site. Your use of the Services is governed by these Terms.
By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
The Services are intended for individuals who are:
- At least 18 years of age, and
- Located in the United States.
By using the Services, you represent and warrant that both of the above are true and that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of another person or entity, you represent that you are authorized to bind that person or entity to these Terms, in which case "you" refers to that person or entity.
The Services are not currently intended for users outside the United States. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local law.
2. Accounts, sign-in, and demo access
2.1 Account creation
To use most features, you need an account. You may register by (i) providing an email address or a phone number and verifying it with a one-time passcode (OTP), or (ii) signing in with Google. If you sign in with Google, you authorize Humanly to receive basic Google profile information (your name, email address, profile picture, and Google account identifier) solely to create and authenticate your account, as further described in our Privacy Policy.
You agree to provide accurate, current, and complete information and to keep it current. You are responsible for the activity that occurs under your account. Notify us at support@humanly.io if you suspect unauthorized access.
2.2 Demo account
We may offer a shared demo account for evaluation. The demo account is a shared, non-confidential environment; do not submit personal, sensitive, or confidential information to it. We may reset or terminate the demo account at any time.
2.3 Suspension and deactivation
We may suspend, limit, or terminate your access to the Services or any account at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for Humanly, or used the Services in a way that harms other users.
3. The Services
The Services provide AI-powered tools including practice interviews, career coaching, and compensation guidance ("Know your worth"), along with a profile to help personalize that guidance.
- Nature of the Services. The Services are informational and practice tools. They are not employment, legal, financial, or career advice, and do not guarantee any job, interview, offer, salary, or other outcome.
- Humanly is not an employer. Humanly is not an employer, staffing agency, recruiter-of-record, or party to any employment relationship between you and any third party.
- No sharing with employers without your direction. We do not share your Profile, resumes, practice-interview recordings, or coaching content with employers unless you explicitly direct us to do so, on an employer-by-employer basis.
- Changes to the Services. We may change, add, or remove features at any time. We may also place limits on certain features or restrict access to parts of the Services without notice or liability.
4. Intellectual property
4.1 Our rights
The Services, including all software, content, text, graphics, designs, logos, marks, and other materials (collectively, the "Humanly Content"), are owned by Humanly or our licensors and are protected by US and international intellectual property laws. All rights not expressly granted to you are reserved.
4.2 Limited license to use the Services
Subject to your compliance with these Terms, Humanly grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use. You may not use the Humanly Content except as permitted by these Terms.
4.3 Feedback
If you send us feedback, suggestions, or ideas about the Services, you grant Humanly a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or obligation to you.
5. Your content
5.1 What we mean by "Your Content"
"Your Content" means any information, text, images, audio, video, resumes, answers, or other content you submit to or generate using the Services, including recordings and transcripts of AI sessions.
5.2 Ownership and license you grant us
You retain ownership of Your Content. You grant Humanly a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, create derivative works from, and otherwise use Your Content solely as needed to operate, provide, secure, support, and improve the Services for you. We do not claim any other rights in Your Content and will not use it for advertising or sell it to third parties.
5.3 Your responsibilities
You represent and warrant that:
- You have all rights necessary to submit Your Content to the Services and to grant the license above.
- Your Content does not violate any third party's intellectual property, privacy, or other rights, and does not violate any law.
- Information in Your Content (including resumes and answers) is accurate to the best of your knowledge and not materially false or fraudulent.
5.4 Removal
We may remove, disable, or refuse to display Your Content if we believe, in good faith, that it violates these Terms or applicable law, or creates risk or legal exposure. We have no obligation to retain Your Content after your account is terminated; see our Privacy Policy for retention details.
6. AI features
The Services include AI features that generate text, audio, and video output. You understand and agree that:
- AI output may be inaccurate, incomplete, biased, or offensive, and should be independently evaluated before you rely on it.
- AI output is not legal, financial, medical, career, or employment advice.
- We do not guarantee the availability, accuracy, or quality of AI output.
- We use third-party AI subprocessors to power certain features, as described in our Privacy Policy.
- Humanly does not use AI to make employment, credit, housing, or other decisions that produce legal or similarly significant effects about you.
You are responsible for how you use AI output, including any use in real applications, interviews, or employer communications.
7. Prohibited conduct
You agree not to:
- Violate any applicable law or regulation, or anyone else's rights.
- Provide false, misleading, or fraudulent information, including in your Profile, resume, or applications.
- Use the Services on behalf of anyone under 18 or anyone outside the United States.
- Impersonate any person or entity or misrepresent your affiliation.
- Harass, threaten, or abuse any other user or any Humanly personnel.
- Upload or transmit viruses, malware, or other harmful code.
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services, except to the extent permitted by law.
- Scrape, crawl, harvest, or otherwise collect data from the Services by automated means, or circumvent any technical protections.
- Use the Services to build or train any competing product, model, or dataset, or use the AI output to train any third-party model.
- Resell, sublicense, rent, lease, or commercially exploit the Services or any Humanly Content.
- Use the Services to conduct any commercial recruiting, staffing, or employer activity. Employer and recruiter use of Humanly's products is governed by separate agreements; the JobSeeker Services are for job seekers only.
8. SMS / one-time passcodes
When you provide a phone number and request a one-time passcode, you consent to receive SMS messages from us or our SMS delivery service provider for account authentication and transactional purposes only (for example, login codes and important account notices). We do not send marketing or promotional SMS.
Message frequency varies based on your activity. Standard message and data rates from your carrier may apply. You can reply STOP at any time to stop non-essential messages, or HELP for assistance. Because OTP messages are required to sign in, opting out of all messages may prevent you from accessing your account.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Sharing with service providers required to deliver messages is permitted and limited to that purpose.
We may later offer additional SMS categories (such as reminders, tips, or updates about features you use). We will only send those messages if you separately opt in to them, and you can opt out at any time by replying STOP.
9. Third-party services and links
The Services may link to or integrate with third-party websites, applications, or services that we do not own or control. We are not responsible for third-party services, their content, their terms, or their privacy practices. Your use of third-party services is at your own risk and subject to their terms.
10. Privacy
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, INCLUDING AI OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, HUMANLY DOES NOT WARRANT THAT:
- THE SERVICES OR AI OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS;
- ANY CONTENT WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR
- YOUR USE OF THE SERVICES WILL RESULT IN ANY PARTICULAR INTERVIEW, JOB, OFFER, COMPENSATION, OR OTHER OUTCOME.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- IN NO EVENT WILL HUMANLY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, GOODWILL, DATA, OR EMPLOYMENT OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- HUMANLY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (US $100).
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Humanly and its officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services;
- Your Content;
- Your violation of these Terms or any applicable law; or
- Your violation of any third-party right.
We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
14. Term and termination
These Terms apply from the first time you access the Services and continue until terminated.
- By you. You may stop using the Services at any time and may request deletion of your account from your Profile or by emailing support@humanly.io.
- By us. We may suspend or terminate your access at any time, with or without notice, for any reason, including if we believe you have violated these Terms.
- Effect of termination. Sections intended to survive termination (including Sections 4, 5, 6, 7, 11, 12, 13, 14, 15, 16, and 19) will survive.
Your data will be handled after termination in accordance with our Privacy Policy.
15. Governing law
These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of Washington, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Dispute resolution; venue; jury-trial waiver
The parties will first attempt in good faith to resolve any dispute informally. If a party submits written notice of a dispute, designated representatives for each party will discuss the dispute in good faith for at least thirty (30) days before initiating any legal action.
If the dispute is not informally resolved, the parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in King County, Washington for any action arising out of or related to these Terms or the Services, and waive any objection to venue or forum non conveniens in those courts.
Jury-trial waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
17. California users and residents
If you are a California resident, you may report complaints to the California Department of Consumer Affairs, Consumer Information Division, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
18. Electronic communications
By using the Services, you consent to receive communications from us electronically, including by email, in-product notice, and SMS as described above. These may include:
- Transactional notices required to operate your account (for example, sign-in codes, security alerts, confirmations, and notices about material changes to these Terms or our Privacy Policy). You cannot opt out of transactional notices while you continue to use the Services.
- Service-related email updates about potential job matches, profile reminders, and job-search status. You can opt out of service-related email updates at any time using the unsubscribe link in each message or in your account settings. Opting out of these updates does not affect transactional notices or SMS messages covered by Section 8.
You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
19. Changes to these Terms
We may change these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by updating the "Last updated" date above and, where appropriate, by email or in-product notice). Your continued use of the Services after the updated Terms take effect means you accept the updated Terms. If you do not agree, stop using the Services.
20. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy and any other legal notices we post in the Services, are the entire agreement between you and Humanly regarding the Services.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
- Assignment. You may not assign or transfer these Terms without our prior written consent. Humanly may assign these Terms without restriction.
- No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
- Relationship. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Humanly.
- Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control.
